Our highly dedicated Capital Markets team similarly has the proven ability and experience of executing securities transactions seamlessly and ensuring that all conditions precedent to each transaction are met. The team has advised and assisted Clients with the preparation and compilation of the requisite legal documents for transactions in the sector.
Our recent experience in the Capital Market includes advising a Non-Government Organisation on raising N2, 000, 000, 000 (Two Billion Naira) through the issuance of Bonds via Private placement for the infrastructural development of its proposed University; providing legal and consultancy services for the sale of 51% of the shares of a telecommunications company to an investor through a private placement arrangement; advising one of Nigeria’s foremost investment banks on the setting up of a N1 billion private equity fund for top tier investors; and advising a Nigerian Stock Exchange (NSE) listed Pharmaceutical Company on all legal aspects of its private placement and rights issue via an offer of 149,227,000 ordinary shares (One Hundred and Forty Nine Million, Two Hundred and Twenty Seven Thousand) shares.
The team has also been involved in guiding investors through the Capital Market components of major mergers and acquisition transactions in vital sectors of the economy.
Our team provided leading legal advisory services for the acquisition of a major commercial bank by another Nigerian bank. We conducted the required due diligence exercise and advised the acquiring bank on all legal risks involved in the acquisition as well as helped to mitigate the identified risks. Our Financial Advisory Services team similarly guided an acquiring bank through the process of financing the acquisition of a distressed bank from the Asset Management Company of Nigeria (AMCON) and prepared all transaction documents, having acted as the sole adviser to the acquiring bank.
Our team’s broad competence is also reflected in its successful guidance of a commercial bank through the process of divesting its 160,000,000 (One Hundred and Sixty Million) Shares (representing 3.2% of the shareholding) in Central Securities Clearing Services (CSCS) Plc. We attended all negotiation meetings and reviewed the Share Sale Agreement to obtain the best possible offer for the client.
The team similarly provided legal advice on debt restructuring to AMCON during the recovery of eligible bank assets in connection with an aircraft purchase agreement between a Nigerian airline and a foreign airline. The restructuring of the debt as a debt/equity swap arrangement resulted in AMCON becoming a 60% majority shareholder in the Nigerian airline.
GEP has extensive experience in facilitating private equity investments and recently advised one of Nigeria’s foremost investment banks on the setting up of a N1 billion private equity fund for top tier investors. The team secured all relevant regulatory approvals in record time and prepared all transaction documents while also implementing risk mitigation measures. The team was also involved in the sale of 51% of the shares of a major Nigerian newspaper to an investor through a private placement arrangement. The team prepared the offer agreement, conducted due diligence on the proposed investor and designed the structure of the transaction, among other services rendered to the newspaper company in the course of the transaction.
Our expertise at loan documentation, securitisation and restructuring is proven. In the last couple of years, we have provided this service offering to numerous institutional lenders and borrowers. We recently prepared all transaction documents connected to the grant of a multi-billion Naira bank guarantee by a commercial bank for the release of an operational facility to a consumer goods company by the Bank of Industry. The team prepared the Guarantee Agreement, the Inter-Lenders Agreement and all other connected agreements. We were also involved in drafting the security documents for the acquisition financing of a multi-billion-dollar oil vessel by a commercial bank and registered the security interests with relevant authorities in a timely fashion.
